Terms & Conditions: Governing Private Label Manufacturing Services

Welcome to Brand Stuff. These Terms & Conditions apply to all business transactions, quotations, and services provided through our website and direct B2B sales activities. By placing an order or using our services, you agree to abide by these Terms & Conditions.

1. Orders, Quotations, and Minimums:

Quotations and Order Confirmation:

All quotations provided are valid for 30 days, unless otherwise specified in writing.
Orders are confirmed only upon receipt of a signed purchase order and the agreed deposit payment.
Any changes to the order (quantities, designs, materials ) after confirmation may affect pricing, the production timeline, and the delivery schedule.

Minimum Order Quantities (MOQ):

We have clearly defined MOQs for each product category ( hoodies, tracksuits, varsity jackets, Outerwear & Jackets.
Small quantity sampling is available prior to bulk production.
Custom orders are made specifically for each client based on agreed specifications.

2. Production Timeline and Approvals:

Sampling Process and Fees:

Sample fees are payable upfront (unless agreed otherwise).
Production begins only after final sample approval.
We are not responsible for delays caused by late sample approvals or design revisions.

Production Lead Time:

Standard production lead time is 15-30 business days after sample approval and deposit payment.
Shipping time varies depending on destination and chosen shipping method. We will provide estimated delivery timelines at order confirmation.

3. Pricing, Payment, and Financial Terms:

Pricing and Currency:

All prices are quoted in USD, EURO, GBP, unless otherwise specified. We can invoice in $USD, Euro, GBP, CAD, etc.

Standard Payment Terms:

For Samples we take 100% advance upfront.
50% deposit to confirm bulk production. 50% balance before shipment.
All bank charges related to the transfer are the responsibility of the buyer.
Delays in payments may result in corresponding production and shipping delays.

4. Shipping, Delivery, and Risk:

Delivery Terms and Incoterms:

Delivery terms ( EXW, FOB, CIF) will be explicitly agreed upon per order and outlined in the final quotation.

Customs, Duties, and Risk of Loss:

We are not responsible for customs delays, duties, or import taxes in the buyer’s country.
Risk of loss passes to the buyer once goods are handed over to the carrier/freight forwarder.

5. Cancellations, Defects, and Intellectual Property:

Cancellations and Defect Reporting

Custom orders cannot be cancelled or refunded after production has started.
Any defects or quality issues must be reported within 7 days of receiving the shipment.
In case of proven manufacturing defects (excluding issues related to customer-provided specs), we will offer replacement or compensation.

Intellectual Property (IP) Protection:

All client designs, logos, and brand materials remain the property of the client.
We will not use or share client designs without explicit written permission.

Confidentiality and Force Majeure:

We treat all client information, designs, and business dealings as strictly confidential (link to Privacy Policy Page).
Force Majeure: We are not liable for delays or failure to perform due to events beyond our reasonable control (e.g., natural disasters, war, strikes, pandemics, or government restrictions).
